1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Broqly ("Company", "we", "us", or "our") concerning your access to and use of the www.broqly.com website and our AI agent services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree with these Terms, you must not access or use our Services.

2. Services Description

Broqly provides AI-powered agent services for real estate agencies, including but not limited to:

• WhatsApp Business API integration and automated response systems
• Email and website inquiry management
• Lead qualification and booking automation
• Real time dashboard and analytics
• Calendar integration and appointment scheduling

We reserve the right to modify, suspend, or discontinue any part of our Services at any time with or without notice.

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use our Services. By using our Services, you represent and warrant that you meet these requirements.

4. Account Registration and Security

To access certain features of our Services, you may be required to register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate your account if any information provided is inaccurate, false, or incomplete.

5. Pricing and Payment

5.1 Fees

Our Services are provided as a done for you setup and monthly management engagement. Fees include a one-time setup fee and an ongoing monthly management fee, quoted in the selected currency or in the client service agreement.

5.2 Payment Terms

• Setup fees are due before service deployment
• Monthly management fees are billed in advance
• All payments are non-refundable except as required by law or as stated in our guarantee
• We reserve the right to change our pricing with 30 days' notice

5.3 The Broqly Guarantee

We guarantee 10 extra booked viewings in your first 30 days of service. If you do not achieve this result, we will continue working free of charge until you do. This guarantee is subject to:

• Proper implementation and configuration of the AI agent
• Minimum lead volume as agreed during onboarding
• Active participation in setup and training sessions
• Compliance with WhatsApp Business API policies

5.4 Late Payment

If payment is not received within 7 days of the due date, we reserve the right to suspend your access to the Services until payment is received.

6. User Responsibilities

You agree to:

• Use the Services only for lawful purposes and in accordance with these Terms
• Comply with all applicable laws and regulations, including WhatsApp Business API policies
• Provide accurate property listings and business information
• Not use the Services to send spam or unsolicited messages
• Not attempt to gain unauthorized access to our systems or networks
• Not interfere with or disrupt the Services or servers
• Not use the Services in any way that could damage our reputation

7. WhatsApp Business API Compliance

Our Services utilize the WhatsApp Business API. You acknowledge and agree that:

• You must comply with Meta's WhatsApp Business API Terms of Service
• You may only send messages to users who have initiated contact with you
• You must provide an opt-out mechanism for recipients
• Violation of WhatsApp policies may result in suspension of your WhatsApp Business account
• We are not responsible for any penalties imposed by Meta for policy violations

8. Intellectual Property Rights

8.1 Our Intellectual Property

The Services, including all software, technology, designs, graphics, and content, are owned by or licensed to Broqly and are protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services without our express written permission.

8.2 Your Content

You retain all rights to the content you provide to us (property listings, business information, etc.). By using our Services, you grant us a limited license to use, store, and process your content solely for the purpose of providing the Services.

9. Data Privacy and Security

Your use of our Services is also governed by our Privacy Policy. We implement reasonable security measures to protect your data, but we cannot guarantee absolute security. You acknowledge that you provide your information at your own risk.

10. Service Level and Availability

While we strive to provide reliable Services with 24/7 availability, we do not guarantee uninterrupted or error-free service. We are not liable for:

• Scheduled maintenance or updates
• Third-party service outages (WhatsApp, email providers, etc.)
• Internet connectivity issues
• Force majeure events beyond our reasonable control

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BROQLY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Broqly and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising out of or related to:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party rights
• Your violation of WhatsApp Business API policies

13. Termination

13.1 Termination by You

You may terminate your monthly management engagement at any time by providing 30 days' written notice. You will remain responsible for all fees incurred up to the termination date.

13.2 Termination by Us

We may suspend or terminate your access to the Services immediately if:

• You breach these Terms
• You fail to pay fees when due
• Your use of the Services poses a security risk
• We are required to do so by law

13.3 Effect of Termination

Upon termination, your right to use the Services will immediately cease. We will provide you with an export of your data within 30 days of termination, after which we may delete your data from our systems.

14. Dispute Resolution

14.1 Governing Law

These Terms shall be governed by the laws and dispute process agreed in the signed client service agreement. If no separate agreement exists, disputes will be handled in a commercially reasonable forum selected by Broqly.

14.2 Arbitration

Any dispute arising out of or relating to these Terms or the Services should first be raised in writing so both parties can attempt to resolve it in good faith. Either party may seek urgent injunctive relief where required.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Services. Your continued use of the Services after such notification constitutes acceptance of the modified Terms.

16. Miscellaneous

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Broqly regarding the Services.

16.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

16.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
